SUBJECTTOthetermsandconditionssetforthbelow.ByacceptingandusingtheEVM,youareindicatingthatyouhaveread,
understandandagreetobeboundbythesetermsandconditions.IFYOUDONOTAGREETOBEBOUNDBYTHESETERMS
ANDCONDITIONS,YOUMUSTRETURNTHEEVMANDNOTUSEIT.
ThisEVMisprovidedtoyoubyTIandisintendedforyourINTERNALENGINEERINGDEVELOPMENTOREVALUATION
PURPOSESONLY.Itisprovided“ASIS”and“WITHALLFAULTS.”ItisnotconsideredbyTItobefitforcommercialuse.As
such,theEVMmaybeincompleteintermsofrequireddesign-,marketing-,and/ormanufacturing-relatedprotectiveconsiderations,
includingproductsafetymeasurestypicallyfoundintheendproduct.Asaprototype,theEVMdoesnotfallwithinthescopeofthe
EuropeanUniondirectiveonelectromagneticcompatibilityandthereforemaynotmeetthetechnicalrequirementsofthedirective.
ShouldthisEVMnotmeetthespecificationsindicatedintheEVMUser’sGuide,itmaybereturnedwithin30daysfromthedateof
deliveryforafullrefundofanyamountpaidbyuserfortheEVM,whichuseragreesshallbeuser’ssoleandexclusiveremedy.
THEFOREGOINGWARRANTYISTHEEXCLUSIVEWARRANTYMADEBYTITOUSER,ANDISINLIEUOFALLOTHER
WARRANTIES,EXPRESSED,IMPLIED,ORSTATUTORY,INCLUDINGANYWARRANTYOFMERCHANTABILITY,FITNESS
FORANYPARTICULARPURPOSEORNON-INFRINGEMENT.
TIshallhavenoobligationtodefendanyclaimarisingfromtheEVM,includingbutnotlimitedtoclaimsthattheEVMinfringesthird
partyintellectualproperty.Further,TIshallhavenoliabilitytouserforanycosts,lossesordamagesresultingfromanysuch
claims.UsershallindemnifyandholdTIharmlessagainstanydamages,liabilitiesorcostsresultingfromanyclaim,suitor
proceedingarisingfromuser’shandlingoruseoftheEVM,includingbutnotlimitedto,(i)claimsthattheEVMinfringesathird
party’sintellectualproperty,and(ii)claimsarisingfromtheuser’suseorhandlingoftheEVM.TIshallhavenoresponsibilityto
defendanysuchclaim,suitorproceeding.
UserassumesallresponsibilityandliabilityforproperandsafehandlinganduseoftheEVMandtheevaluationoftheEVM.TI
shallhavenoliabilityforanycosts,lossesordamagesresultingfromtheuseorhandlingoftheEVM.Useracknowledgesthatthe
EVMmaynotberegulatorycompliantoragencycertified(FCC,UL,CE,etc.).DuetotheopenconstructionoftheEVMitisthe
user’sresponsibilitytotakeanyandallappropriateprecautionswithregardtoelectrostaticdischarge.
EXCEPTTOTHEEXTENTOFTHEUSER’SINDEMNITYOBLIGATIONSSETFORTHABOVE,NEITHERPARTYSHALLBE
LIABLETOTHEOTHERFORANYINDIRECT,SPECIAL,INCIDENTAL,ORCONSEQUENTIALDAMAGESWHETHERTIIS
NOTIFIEDOFTHEPOSSIBILITYORNOT.
TIcurrentlydealswithavarietyofcustomersforproducts,andthereforeourarrangementwiththeuserisnotexclusive.
TIassumesnoliabilityforapplicationsassistance,customerproductdesign,softwareperformance,orinfringementof
patentsorservicesdescribedherein.
UseragreestoreadtheEVMUser’sGuideand,specifically,theEVMwarningsandRestrictionsnoticeintheEVMUser’sGuide
priortohandlingtheEVMandtheproduct.Thisnoticecontainsimportantsafetyinformationabouttemperaturesandvoltages.
Itisuser’sresponsibilitytoensurethatpersonshandlingtheEVMandtheproducthaveelectronicstrainingandobservegood
laboratorypracticestandards.
ByprovidinguserwiththisEVM,productandservices,TIisNOTgrantinguseranylicenseinanypatentorotherintellectual
propertyright.
